Acceptance clause

1. Welcome to use the Electromechanical Cloud Exhibition Service Platform (" Platform "). This Agreement has marked the terms that may have a significant relationship with your rights and interests in bold, you should focus on reading.

2. This Agreement sets out the terms and conditions of service between EMCC and the registered user of the Platform (" User "or" You "), according to which EMCC allows you to access and use the Services through the Platform. This Agreement applies to the websites, mobile sites, mobile applications and other portals owned, operated, provided by or under the auspices of the MEChatronic Chamber of Commerce from time to time, including but not limited to http://www.cccme.org.cn and the "Mechatronic International Business Opportunities" mini program (collectively, the "Website" or the "Platform") on the mobile wechat app.

3. Individual terms of this Agreement may be adjusted from time to time according to business needs, and the Electromechanical Chamber of Commerce may at any time revise and restate the Agreement by Posting it on the website. The amended and restated Agreement shall become effective on the date specified for publication and at least 7 days after publication. If you continue to use the Services after the publication of the revised and restated Agreement, you shall be deemed to have fully read, understood and accepted the revised Agreement; If you do not agree to the revised agreement, you have the right to stop using the services of the Electromechanical Chamber of Commerce.

4. This Agreement was updated on August 8, 2020 and will take effect from August 8, 2020.

Registration clause

1. The website of the electromechanical Chamber of Commerce adopts the user system of "enterprise account + personal account", and the personal account must be registered under the enterprise account. Multiple personal accounts can be registered under the same corporate account, but a set of user names and passwords are exclusive to the unique account, and the registered account can only be used by the registered enterprise/individual, and the user shall not share, transfer or allow any other person to use its account, user name or password.

2. If you apply to register as a user of the electromechanical Cloud Exhibition service platform, you must comply with the following rules: (1) If you are already a member enterprise of Mechatronic Chamber of Commerce before the release of this Agreement, Mechatronic Chamber of Commerce will automatically create an account and password of this platform for you. Please log in, activate the account, modify the password, update, upload and improve relevant information in time to use and enjoy all services of this platform; (2) If you are not a member enterprise of the Electromechanical Chamber of Commerce before the release of this Agreement, then when registering as a user, you can use and enjoy all services of the platform by providing true, accurate, immediate and complete registration information according to the requirements of the Electromechanical Chamber of Commerce; (3) All users shall maintain and timely update the registration information to keep it true, accurate, immediate and complete. If the account name, email and other information provided when you register is changed, you can modify the login name, contact information, password or cancel the account through the "User Center" and according to the steps prompted on the page, and accept the audit of the mechanical and electrical Chamber of Commerce. Otherwise, the Chamber of Commerce has the right to suspend or terminate your relevant services or the use of the electromechanical cloud exhibition account, and the Chamber of Commerce does not assume any responsibility for this.

3. If you register a user on the platform on behalf of other natural persons, legal persons and other organizations, you represent and warrant that you have obtained the relevant authorization and have the right to bind the above-mentioned legal subjects to this Agreement.

4. Each User shall keep his/her username and password in safe custody and shall be fully responsible for all activities that occur under his/her username and password (whether such use or activity is authorized or not).

Chamber of Commerce Terms of Service

1. After the successful registration of users, the services, functions and features enjoyed by members of different levels of the Chamber of Commerce, members of the Chamber of Commerce and non-members are different, the specific details are subject to separate announcements on the official website of the Chamber of Commerce. Except as expressly agreed, we make no warranties or representations regarding the provision of specific features or functions or the provision of features and functions of the same class and scope.

2. Fees (1) EMCC reserves the right, in its sole discretion, to charge or adjust fees for the Service or any feature or function of the Service. Once the cost is adjusted, it will be announced on the electromechanical cloud exhibition platform. If you are already using the paid service and have paid for it, the fee standard shall be applied according to the revised fee standard, and the new fee standard shall be applied after the expiration. (2) Registered electromechanical cloud exhibition users are free, no matter whether they are members of the Chamber of Commerce, such as choosing other charged services, the specific cost please see the corresponding fee description published by the Chamber of Commerce of machinery and Electronics.

When you register as a user of the Electromechanical Cloud Exhibition, if you agree, the electromechanical Chamber of Commerce will send you the contact information provided at the time of registration (including but not limited to email, mobile phone number, etc.) related to the services of the Chamber of Commerce. If you do not agree to continue receiving, you must contact us and notify the electromechanical Chamber of Commerce in writing to stop pushing information.

5. You agree that MEChatronics will promote the company, products or other information provided by you on the Mechatronics Cloud Exhibition website (including but not limited to existing or future websites), and agree that Mechatronics Chamber of Commerce will not bear any legal responsibility caused by the information without changing the substance of the information provided by you.

6. Emcc reserves the right to temporarily or permanently replace, upgrade, modify, restrict or suspend the Service or any related function or application of the Service without prior notice. E&m further reserves the right to introduce new features, functions or applications or conditions for the Services or future versions of the Services (but E&M assumes no obligation to do so). All new features, functions, applications, conditions, modifications, upgrades and changes shall apply to this Agreement unless otherwise specified by the Electromechanical Chamber of Commerce.

7. If you voluntarily submit any information (including but not limited to company and business profiles, product catalogs, trading opportunities, TRUSTPASS profiles, corporate trust systems) to the Website for Posting on the Website through the publishing tool, you shall be deemed to have consented to Posting such information on the Website.

The User represents warranties and liabilities

1. Each User acknowledges that sharing his or her account with others or allowing multiple users outside of his or her business entity to use his or her account (collectively, "Multiple Users") may cause irreparable harm to the EMSTM and that each member shall indemnify the EMSTM for any loss or damage (including but not limited to loss of profits) suffered by the EMSTM as a result of multiple users using the account. Each user hereby undertakes to immediately notify the Electromechanical Chamber of Commerce of any unauthorized use of their account, username or password or any other breach of security. Each User hereby agrees that EMCC shall not be liable for any loss or damage arising from User's failure to comply with this Section. If the registered employee of the enterprise departs or changes his post, the account shall be cancelled in time, otherwise, the liability and loss caused by the enterprise shall be borne by itself.

2. Each user hereby represents, warrants and agrees that: (1) All information, data, contact information and other materials provided on the Platform are true, accurate, complete and valid; (2) Provide true, accurate, current, and complete information about itself and its business as may be required by the E&M Chamber to obtain E&M Chamber referral services, and (3) maintain and immediately revise all information to keep it true, accurate, current, and complete. To the extent permitted by applicable law, each User hereby grants an irrevocable, perpetual, worldwide, royalty-free, sublicensable (multilevel) license to the Company to use, reproduce, modify, adapt, publish, translate, and create derivative works from the Company through any media now known or unknown. By disseminating, performing, and displaying all information (including but not limited to text, pictures, videos, whether in whole or in part) provided by the User for the purposes set forth in this Agreement, and/or incorporating such content into any other form of work, media, or technology, you exercise your copyright, publicity, and database rights in such material or information. Information protected by data protection laws must be used and stored in a manner consistent with those laws. At the same time, you agree that the Electromechanical Chamber of Commerce does not change the substance of the information provided by you to bear any legal responsibility arising from the information.

3. Each User hereby represents, warrants and agrees that his or her use of the Services and the Site will not: (1) contain fraudulent information, or make fraudulent offers for items, or involve the sale or attempted sale of counterfeit goods, stolen goods, or items prohibited by applicable law from sale and/or marketing, or otherwise promote other illegal activities; Form part of a scheme to defraud other users or other users of the Site or for any other unlawful purpose; (2) infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademark, trade secret, other proprietary right, right of publicity, right of privacy, or other legal right; (3) Impersonate any person or entity, or make false statements about yourself or your association with any person or entity; (4) violate any applicable laws, decrees, ordinances, or regulations (including but not limited to those governing export control, consumer protection, unfair competition, anti-discrimination, or false advertising); (5) contains information that is defamatory, defamatory, unlawfully threatening or unlawfully harassing others; (6) Contains pornographic information, or contains or implies any pornographic content, sex-related merchandise, any other sex-related content, otherwise promotes pornographic content, or is otherwise harmful to minors; (7) Information that encourages discrimination on the basis of race, sex, religion, nationality, disability, sexual orientation or age; (8) includes conduct that constitutes unsolicited advertising or harassment (including but not limited to spamming), invades the privacy of any person, or solicits conduct that constitutes a criminal offense, gives rise to civil liability, or otherwise violates any law or regulation; (9) involving an attempt to reproduce, duplicate, exploit or requisition various proprietary catalogues, databases and lists of EMCC or any other information; (10) Any scheme involving the use or provision of any computer virus, saboteur, computer worm, timer bomb or other destructive program containing damage, interference, interception or encroachment of any system, data or personal data, and involving threats to the security and integrity of the computer system or network used by any user of the EMCC and/or the Services, No user shall attempt to gain unauthorized access to such computer systems or networks; (11) Directly or indirectly link to or contain descriptions or other materials that violate any laws or regulations or are prohibited under this Agreement; Or (12) otherwise expose the Electromechanical Association or its affiliates to any liability.

4. Users shall not take any action that may compromise the integrity of the feedback system of the Electromechanical Chamber of Commerce, such as using another user's username or through a third party to create positive feedback for themselves or unfounded negative feedback for other users.

5. Each User acknowledges and agrees that the Company reserves the right to proactively monitor the content of any messages or other materials or information created, obtained, or accessible through the Services and to exercise any editorial control over such content, but has no obligation to do so. The Electromechanical Chamber of Commerce does not endorse, verify or otherwise certify the content of any evaluation or other materials or information provided by any user. Each user is solely responsible for the content of their communications and may be held legally responsible or liable for the content of their reviews or other materials or information.

6. Each User represents, warrants and agrees that it has obtained all necessary third party licenses and licenses and is responsible for ensuring that any material or information posted on the Site, provided to or authorized to be displayed by the Company does not violate any third party's copyright, patent, trademark, trade secret or any other private or proprietary right. Or with the permission of the owner of such rights to publish such material or information. Each User further represents, warrants and agrees that it has the right and authority to sell, distribute or offer to sell or distribute the products described in the materials or information that it has posted on the website, provided to or authorized to display by the Electromechanical Chamber.

7. Each User agrees to indemnify and hold the Company and its employees, agents and representatives harmless from any and all losses, claims and liabilities (including legal costs on a full indemnification basis) that may arise as a result of its submission, Posting or deletion of the Material, its use of the Services or its breach of this Agreement or the Terms of Use. Each User further agrees that the Company shall not be liable for any material (including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illegal material) posted by such User or third parties and that the risk of damage caused by such material shall be solely the responsibility of each User. The E&M Chamber reserves the right to defend any matter subject to compensation by the User, in which case the User shall cooperate with the E&M Chamber in raising any available defenses.

Transactions between suppliers and buyers

1. The User is hereby informed that there is a risk that he may engage in transactions with persons who have committed fraudulent acts. The Electromechanical Chamber of Commerce employs certain technologies to verify the accuracy of the information provided by users when registering on the website. However, due to the difficulty of user verification on the Internet, the Electromechanical Chamber of Commerce cannot and will not confirm the identity claimed by each user displayed on the website, and the Electromechanical Chamber of Commerce can only use reasonable efforts to verify the identity of the user, but does not assume any responsibility for this. We recommend that you use a variety of other available tools and common sense to evaluate the counterparties you are dealing with.

2. Each user who accesses or uses the Site or Services shall be at his or her own risk in entering into any transaction relating to or through the Site or Services. Such risks shall include, but are not limited to, misrepresentations of products and services, fraudulent schemes, non-conformity of quality, failure to meet technical specifications, product defects, delay or default in delivery or payment, miscalculation of costs, breach of warranty, breach of contract, and transportation accidents (collectively, "Transaction Risks"). Each User agrees that, except as required by law, the Company shall not be liable for any damage, liability, expense, injury, inconvenience, business interruption or expense of any kind that may arise out of or in connection with any transaction risk.

3. The User is solely responsible for the formulation, agreement, conclusion and performance of all terms and conditions of transactions conducted on, through or as a result of the use of the Site, including but not limited to terms relating to payments, returns, warranties, shipments, insurance, fees, taxes, title, authorizations, penalties, permits, handling, transportation and storage, Subject to any additional obligations under the Transaction Services Agreement (in particular Article 4, paragraph 3 of this Agreement).

4. In the event of a dispute between any User and any party to a transaction, Such Users agree to release EMCC (and its agents, affiliates, directors, officers and employees) from liability for all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or derivative damages) arising out of or in connection with such dispute or transaction.

Suspension and termination of service

1. For the following behaviors of registered users, or the electromechanical Chamber of Commerce has reasonable grounds to believe that the following behaviors exist, the electromechanical Chamber of Commerce reserves the right to delete, suspend, restrict the use, suspend or terminate the relevant services or refuse you to use any current or future services in any form without prior notice, and does not bear any responsibility. And reserves the right to hold you legally liable: (1) breach of the user's representations, warranties and terms of agreement as set forth in Article 4 of this Agreement; (2) The information provided is untrue, inaccurate, inaccurate, incomplete, and fails to update the information in a timely manner, or refuses to provide relevant information and materials reasonably required by the electromechanical Chamber of Commerce. (3) After a complaint or claim by any other user or third party, the Company has reasonable grounds to believe that the user has wilfully or materially failed to perform its contract with the third party, including but not limited to the failure of the user who uses or provides products or services through the Website and Services to deliver any goods ordered after receiving the payment, Or the goods delivered by the User do not conform materially to the terms and descriptions outlined in the contract with the third party; (4) the Company has reasonable grounds to believe that the User has used other false or misleading information in any transaction concluded through the Company's services; (5) Publishing information in the name of others; (6) misappropriating the login name or password of others in the electromechanical cloud exhibition service platform; (7) The user is involved in any activity that is reasonably considered illegal by the Electromechanical Chamber of Commerce, may make the Electromechanical Chamber of Commerce liable, or violates this Agreement or any material that the Electromechanical Chamber of Commerce considers inappropriate.

2. Once your user service is terminated, you will not be able to publish information on the electromechanical Chamber of Commerce, nor can you let others publish information on behalf of you; Your registration information and all related information will be deleted or discarded; At the same time, for your behavior before the termination of the service, the electromechanical Chamber of Commerce reserves the right to pursue your legal responsibility.

3. The Chamber reserves the right to cooperate fully with governmental and regulatory authorities, private investigative agencies and/or injured third parties in connection with any suspected criminal or civil violation. To the extent permitted by applicable laws and policies, if requested by governmental, regulatory or law enforcement agencies or aggrieved third parties, or as a result of subpoenas or other legal action, the Company may disclose the identity, contact information and/or information relating to the User's account, transaction or activity on the Site, and the Company shall not be liable for any damage or results resulting therefrom. The User agrees not to bring any lawsuit or claim against the Electromechanical Chamber of Commerce for such disclosure.

All rights, title and intellectual property rights in the Services shall at all times belong to E&M or its affiliates or licensors (as the case may be). All rights not otherwise asserted under this Agreement or otherwise asserted by the Electromechanical Chamber of Commerce are hereby reserved.

2. The trademarks, proper names, logos, etc. of the Website are trademarks and trade names of the products and services of the Electromechanical Chamber of Commerce, such as "CCCME" and "CCCME.ORG.CN", and are protected by applicable copyright laws, trademark laws and other exclusive rights laws. This Agreement constitutes the entire agreement between the User and EMCC with respect to the Services and supersedes any prior written or oral agreement with respect to the same subject matter in this Agreement. 1. The electromechanical Chamber of Commerce and the user are independent contracting parties. This Agreement is not intended to create and does not create any agency, partnership, joint venture, employment or franchise relationship. 2. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall remain enforceable. 3. The title is for reference only and in no event shall it define, limit, interpret or describe the scope or extent of the Terms. 4. The failure of E&M to enforce any right or to act with respect to any breach by the User hereunder shall not constitute a waiver of such right, nor shall E&M waive its right to act with respect to subsequent or similar breaches. 5. Mechatronic Chamber of Commerce shall have the right to assign this Agreement (including all its rights, titles, interests, interests, obligations and liabilities under this Agreement) to any person or entity (including any affiliated party of MEChatronic Chamber of Commerce). You may not transfer this Agreement, in whole or in part, to any person or entity. 6. The language of this Agreement is Chinese. 7. This Agreement shall be governed by the laws of the People's Republic of China, and disputes arising from this Agreement shall be settled by Beijing Arbitration Commission in accordance with the relevant laws of the People's Republic of China.
